Combine butter and cocoa powder in a large saucepan over medium heat. Let the butter melt, and stir so that the mixture is well combined.
Add the marshmallows and stir until completely melted.
Remove the pan from the heat and stir in the rice cereal. When it is well coated in the marshmallow mixture, stir in the chocolate chips.
Spread the mixture into a well oiled or parchment lined 9x13 inch pan.
Allow to cool. Cut into squares and serve.
